Terms of Service

1. Acceptance of Terms

By accessing or using the Solemi website and services, including signing up for our waitlist, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and Solemi, Inc. ("Solemi," "we," "us," or "our").

Age Requirement: You must be at least 18 years old to use our services. By using our services, you represent and warrant that you are at least 18 years of age. If you are under 18 years of age, you are not permitted to use our services.

2. Description of Service

Solemi is currently in a pre-launch phase. Our current service consists of:

• A waitlist registration system for early access to our upcoming TABI assessment product
• Informational content about our company and research
• Email communications regarding product updates and launch information

The full TABI assessment product is not yet available. By joining the waitlist, you are expressing interest in being notified when the product launches and may receive early access opportunities.

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information when registering for the waitlist
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not attempt to interfere with or disrupt our services or servers
• Not impersonate any person or entity or misrepresent your affiliation
• Comply with all applicable laws and regulations

4. Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the TABI framework research, are the exclusive property of Solemi, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website without our prior written consent, except for your personal, non-commercial use.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOLEMI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our services are provided "as is" and "as available" without any warranty of any kind, either express or implied.

7. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

8. Changes to Terms

We reserve the right to modify these Terms of Service at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, through email notification. Your continued use of our services after any changes constitutes your acceptance of the new terms. We encourage you to review these terms periodically.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use our services will immediately cease. You may also remove yourself from the waitlist at any time by contacting us.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the federal or state courts located in California, and you consent to the personal jurisdiction of such courts.

11. Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal dispute resolution process, you agree to first contact us at legal@solemi.ai to attempt to resolve any dispute informally. We will attempt to resolve any dispute within thirty (30) days from the date we receive your written notice.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by JAMS in San Francisco, California. The arbitration shall be conducted in the English language. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: YOU AND SOLEMI, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Solemi, Inc. agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent unauthorized access to or use of our services.

12. Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
